Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the AI inference API, dashboard, and related services (collectively, the "Service") provided by PT Bali Towerindo Sentra Tbk, operating as "BaliLLM" at balillm.ai ("BaliLLM," "we," "us," or "our"). By accessing or using the Service — whether directly or through an API key issued by us — you ("Customer," "you," or "your") agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

BaliLLM operates inference infrastructure that hosts and serves large language models and related AI models, exposed via a REST API compatible with common inference API conventions. The Service may be accessed:

• directly, using API credentials issued by BaliLLM; or
• indirectly, through another authorized reseller or marketplace, subject to that marketplace's own terms in addition to these Terms.

We publish a /models endpoint and API base URL describing currently available models, pricing, and capabilities, which may change from time to time.

3. Eligibility and Accounts

• You must be at least 18 years old and capable of forming a binding contract to use the Service.
• You are responsible for maintaining the confidentiality of your API keys and credentials, and for all activity that occurs under them.
• You must provide accurate, current, and complete registration information and keep it up to date.
• You must notify us promptly at security@balillm.ai if you suspect unauthorized use of your credentials.

4. Acceptable Use Policy

You agree not to use the Service to:

• Generate, request, or distribute content that is unlawful, infringing, defamatory, or that facilitates violence, terrorism, or exploitation of minors;
• Violate the intellectual property, privacy, or other rights of any third party;
• Attempt to circumvent rate limits, quotas, or security controls, or to reverse-engineer the Service;
• Transmit malware, conduct denial-of-service attacks, or otherwise compromise the integrity or performance of our infrastructure;
• Use outputs to train, develop, or improve a competing foundation model without our prior written consent, where such use is inconsistent with applicable upstream model licenses; or
• Resell or sublicense access to the Service other than through an integration expressly permitted by us or by an authorized marketplace.

We may suspend or terminate access for violations of this Section, as described in Section 12.

5. API Access, Rate Limits, and Availability

We aim to provide reliable, high-performance access to the Service and publish uptime, latency, and throughput metrics where applicable. However:

We may apply reasonable rate limits and capacity controls (capacity_tpm) to maintain quality of service across all customers.

6. Fees and Payment

• Fees for direct use of the Service are set out in a separate order form, and are billed based on actual usage (e.g., per token) unless otherwise agreed in writing.
• Except as required by law, fees are non-refundable once usage has occurred.
• We may change our pricing prospectively with reasonable prior notice; changes do not apply retroactively to usage already incurred.

7. Data Use and Privacy

Our collection and use of information, including prompts and completions submitted to the Service, is governed by our Privacy Policy, which forms part of these Terms. In particular:

"Customer Content" means the prompts, files, and other input you submit to the Service, and the completions and other output generated in response. As between you and BaliLLM, you retain all rights, title, and interest in your Customer Content, subject to the license in Section 8.

8. Intellectual Property

8.1 Your Content

You retain ownership of your Customer Content. You grant us a limited, non-exclusive license to process Customer Content solely to provide, secure, and maintain the Service, consistent with Section 7 and our Privacy Policy. We do not claim ownership over your prompts or the completions generated for you.

8.2 Our Technology

BaliLLM retains all rights, title, and interest in and to the Service, including our infrastructure, software, and documentation, excluding Customer Content and any third-party or open-source models we host.

8.3 Underlying Models

Certain models made available through the Service may be subject to additional license terms from their original developers (e.g., open-weight model licenses). You are responsible for complying with any such upstream license terms applicable to your use of outputs.

9. Third-Party Services

If you access the Service through a marketplace:

• BaliLLM is responsible for the inference infrastructure and outputs it provides;
• we report uptime, latency, and throughput using aggregated technical metadata rather than Customer Content.

10. Disclaimers and Limitation of Liability

To the maximum extent permitted by applicable law, BaliLLM shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our aggregate liability arising out of or relating to these Terms shall not exceed the amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless BaliLLM and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service in violation of these Terms or applicable law, or your Customer Content.

12. Termination

• You may stop using the Service and close your account at any time.
• We may suspend or terminate access immediately for a material violation of Section 4, non-payment, or where required to protect the security or integrity of the Service.
• For other terminations, we will provide at least fourteen (14) days' notice where reasonably practicable.
• Upon termination, your right to use the Service ceases immediately; provisions that by their nature should survive (including Sections 7, 8, 10, 11, and 13) survive termination.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Indonesia, without regard to its conflict-of-laws principles. The parties shall first attempt to resolve any dispute through good-faith negotiation.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified via the Service, our website, or email at least fourteen (14) days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
